Audit Committee

We have established an audit committee with written terms of reference in accordance with Rule 3.21 of the Listing Rules and the Corporate Governance Code scope. The main duties of the Audit Committee are to review and supervise the Group's financial reporting procedures and internal control systems, approving connected transactions and providing advice and comments to the Board. The audit committee consists of three members, namely Mr. Ye Lin, Mr. Zhang Wei and Mr. Mi Zihou, Mr. Ye Lin (being our independent non-executive directors with appropriate professional qualifications) as the chairman of the Audit Committee.

Remuneration and Appraisal Committee

We have established a remuneration committee with written terms of reference in accordance with Rule 3.25 of the Listing Rules and the Corporate Governance Code scope. The main duty of the Remuneration Committee is to review the remuneration packages, bonuses and other compensates, and makes recommendations to the Board of Directors thereon. The Remuneration Committee consists of three members, namely Mr. Mi Zihou, Ms. Yang Ling, Mr. Zhang Wei, and Mr. Mi Zihou are the chairmen of the remuneration committee.

Nomination Committee

We have established a Nomination Committee with written terms of reference in accordance with the Corporate Governance Code. Nominating Committee's primary role is to make recommendations to the Board on the appointment of directors and the management of succession to the Board. The nomination committee consists of three members, are Ms. Yang Ling, Mr. Zhang Wei and Mr. Ye Lin. Ms. Yang Ling is the chairman of the nomination committee.
